Decision
An inbound acquisition offer for Megaphone was received and declined approximately August 4-5, 2026. The business will continue operating and growing before any sale is considered.
Context
An acquisition offer came in for Megaphone (agency side). Michael turned it down 2-3 days before the Aug 7 weekly call with Emil. This is distinct from the ZKW offer evaluated in July 2026 (see Megaphone: Hold (Don't Sell to ZKW) - Wait for SBA Eligibility).
The timing coincided with a significant internal development: initial concern that AI would displace the ghost-writing agency model was reversed after building an internal AI system. A new angle for selling the service is now in development, which added conviction that the business has more upside ahead.
Options Considered
- Accept the offer: clean exit, but left money on the table given expected value ahead.
- Decline and continue growing (chosen): confidence from internal AI system build that the model can evolve and the multiple can improve.
Consequences
-
Megaphone continues operating under current Rye Valley structure.
-
The team is now building a new service positioning angle enabled by the internal AI system.
-
Next logical review point for acquisition conversations: after the new angle is validated and the multiple has improved.
-
Related: the July ZKW hold decision still stands; SBA eligibility timeline (next year) remains a factor in future sale timing.
-
Content rule follow-through (2026-08-10): the “directional numbers only on Megaphone while the sale is open” content rule is RETIRED. Michael: acquisition numbers are fully discussable. Updated same day in content-dna.md, hard-calls-content-review, founding-journey-newsletter, and rye-valley-content-agents sources.

- Exact figure (Michael, 2026-09-03): the declined offer was **$1,128,000**. Supersedes the "~$1M to ~$1.2M” range in the July notes. Publishable; being written up as an FJ/Hard Calls issue 2026-09-04.
