Client-engagement decision, not a Rye Valley decision. This was decided inside Michael’s consulting engagement with Emil Barr (founder of Flashpass). Emil is a client. He is not part of Rye Valley and does not make decisions for Rye Valley, and neither Flashpass nor anyone on Emil’s team is a Rye Valley entity or employee. Recorded here for Michael’s context only. Decision
For Emil’s Saudi/UAE market entry, Civic Chain is the right brand/vehicle to lead with. Flash Pass was ruled out as a poor fit for the region. Any serious Middle East push would require a separate entity incorporated in Saudi Arabia or UAE under the holdco, plus Emil committing significant in-country time.
Context
Emil’s team has been exploring Saudi VC and conference opportunities. Saudi VCs now expect genuine regional presence, not just capital asks. One precedent cited: a client relocated to Dubai in exchange for $30M funding, talent, and office space. The team needed to decide which Emil portfolio vehicle to position in the region.
Crypto (Civic Chain’s domain) is well-received in UAE/Saudi. Flash Pass (the civic-tech product) was evaluated and deemed a mismatch for the region’s current priorities and investor appetite.
Options Considered
- Flash Pass for Saudi outreach: Ruled out. Product/narrative not a fit for the region.
- Civic Chain for Saudi/UAE: Selected. Crypto angle resonates; existing brand has regional relevance.
- No Middle East push: Not discussed as a formal option; the region is clearly on the roadmap.
Consequences
- Civic Chain becomes the designated vehicle for any Emil Middle East activity.
- If the push moves forward: a new entity (Saudi or UAE, under Emil’s holdco (NOT Rye Valley; corrected 2026-08-30)) will need to be established.
- Emil would need to spend substantial time on the ground in the region.
- Near-term next steps are conference-driven (FII October 2026, Abu Dhabi Finance Week December 2026) with Grig making introductions.
- No entity formation or timeline committed yet; decision is strategic direction only.
